Rome, 31th March 2017 – With reference to the Ordinary Shareholders' Meeting of Enav S.p.A. to be held on April the 28th 2017, the Annual Financial Report as at December 31st, 2016 and Consolidated Balance Sheet, and the audit report issued by the independent auditing firm as well as the Report on Corporate Governance and Ownership Structure 2016 (Italian version) – related to items 1 and 2 of the Agenda of the Shareholders' Meeting, regarding:

1. Approval of the financial statements of Enav S.p.A. as of 31 December 2016; Reports of the Board of Directors, the Board of Auditors, the External uditors
   and the Financial Reporting Manager. Presentation of the consolidated financial statements as of 31 December 2016; related and consequent resolutions;
    
2. Allocation of the profit for the period

The English version of the Report on Corporate Governance and Ownership Structure 2016 shall be published pursuant to the terms provided by the applicable regulation.
